1. Acceptance of Terms

By accessing or using Effitrio ("we," "our," "us," or "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you may not access or use the Service.

These Terms apply to all users, including registered users, unregistered users, businesses, and administrators. If you are using Effitrio on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

Alpha Stage Notice: Effitrio is currently in closed alpha. These Terms apply to all alpha users and may be updated during the alpha phase. Your continued use of the Service constitutes acceptance of updated Terms.

2. Service Description

Effitrio is an ERP mini tool suite that enables businesses to manage invoices, expenses, projects, and customer relationships. All features require a registered Effitrio account. The Service provides:

• Invoice Management: Create, customize, send, and manage professional invoices with payment tracking and history.
• Expense Tracking: Log and categorize expenses with receipt uploads and reporting.
• Project Management: Plan projects, manage tasks, assign team members, and track progress.
• Customer Relationship Management: Maintain client database, communication history, and transaction records.
• AI-Powered Features: Automated invoice summarization, insights, and recommendations (optional, can be disabled).

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with notice. During the alpha phase, features may change significantly based on user feedback.

3. User Accounts and Subscriptions

3.1 Account Creation

To access premium features, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information.
• Maintain and promptly update your account information.
• Maintain strict confidentiality of your password and account credentials.
• Accept responsibility for all activities under your account.
• Notify us immediately of unauthorized access or use of your account.

3.2 Subscription Tiers

Effitrio offers three subscription tiers: Free, Pro (Beta), and Pro (V1). Each tier includes specific features and limits defined in your account settings. You may upgrade or downgrade your subscription at any time. Downgrades take effect at the next billing cycle.

3.3 Payment Terms

• Billing: Subscriptions are billed monthly or annually (if selected).
• Payment Method: You authorize us to charge your payment method for subscription fees. Payments are processed by Stripe (see Privacy Policy).
• Failed Payments: If payment fails, we will attempt to charge again. Repeated failures may result in account suspension.
• Taxes: All prices exclude applicable taxes. You are responsible for any taxes owed on subscription fees.

3.4 Cancellation & Refunds

You may cancel your subscription at any time via your account settings. No refunds will be issued for partial months or unused time. Your account and data will remain accessible until the end of the current billing period, after which access will be restricted to free-tier features only.

3.5 Account Responsibility

You are responsible for all activities under your account and for maintaining the confidentiality of your credentials. Effitrio is not liable for any loss or damage from unauthorized account access or use.

4. Acceptable Use

You agree not to use the Service for any unlawful purpose or in violation of any applicable laws. Specifically, you agree not to:

• Create fraudulent or illegal invoices, or use the Service to defraud others.
• Transmit viruses, malware, ransomware, or other harmful code.
• Attempt to gain unauthorized access to the Service or related systems.
• Interfere with, disrupt, or attack the Service or its infrastructure.
• Use automated systems (bots, scrapers) without explicit permission.
• Impersonate any person or entity or misrepresent your affiliation.
• Collect or harvest personal information about other users without consent.
• Resell, redistribute, or sublicense the Service or its features without authorization.
• Violate intellectual property rights of Effitrio or third parties.
• Use the Service to generate, store, or transmit illegal content, including child exploitation material.
• Harass, threaten, defame, or abuse other users.

Violations of this Acceptable Use Policy may result in immediate account suspension or termination without refund.

5. Your Content and Data

5.1 Ownership and Rights

You retain full ownership of all invoices, expense records, projects, client data, and other content you create using the Service ("Your Content"). By using the Service, you grant Effitrio a limited, non-exclusive license to:

• Store and process Your Content to provide the Service.
• Display Your Content to you and authorized workspace members.
• Back up Your Content for data recovery and disaster prevention.
• Use aggregated, anonymized data from Your Content for analytics and service improvement.

5.2 Data Storage and Deletion

Your Content is stored in our secure database for as long as your account is active. You can delete individual records, projects, or invoices at any time via the dashboard. Upon account termination, we will securely delete Your Content within 30 days, except where retention is required by law (e.g., transaction logs for tax compliance retained for 7 years).

Company details may also be stored in your browser's localStorage for invoice auto-fill convenience. This local storage is controlled by you and can be cleared at any time through your browser settings.

5.3 Content Responsibility

You are solely responsible for the accuracy, completeness, and legality of all content you upload or create. You represent and warrant that:

• All information you provide is accurate and truthful.
• You have the legal right to process and share the data you enter.
• Your use of the Service complies with all applicable laws and regulations.
• Your invoices comply with tax laws, invoicing requirements, and regulations in your jurisdiction.
• You will not create fraudulent, misleading, or illegal content.

Effitrio does not verify or validate the information you provide. You are responsible for ensuring compliance with tax, legal, and regulatory requirements.

5.4 Tax and Legal Compliance

The Service is a tool for invoice generation and business management. It does not provide tax, legal, or accounting advice. You are solely responsible for compliance with tax laws, invoicing regulations, and other legal requirements in your jurisdiction. Consult with a professional accountant or tax advisor for guidance specific to your situation.

6. Intellectual Property

6.1 Service Ownership

The Service, including its design, functionality, features, software, code, templates, and all original content, is owned by Effitrio and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. All rights are reserved.

6.2 Limited License

Subject to these Terms and payment of applicable subscription fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or business purposes. This license does not include:

• Copying or reproducing the Service or its source code.
• Modifying, altering, or creating derivative works.
• Reverse engineering, decompiling, or attempting to discover source code.
• Reselling, sublicensing, or redistributing the Service.
• Removing or obscuring proprietary notices or labels.

6.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant Effitrio a worldwide, perpetual, royalty-free license to use that feedback without obligation to you.

7. Service Availability and Support

7.1 Uptime and Availability

We aim to maintain high availability but do not guarantee 100% uptime. The Service may be unavailable due to:

• Scheduled maintenance (typically announced in advance).
• Technical failures, bugs, or infrastructure issues.
• Force majeure events (natural disasters, war, pandemics).
• Security incidents or necessary security patches.

7.2 Alpha Phase Stability

Effitrio is in closed alpha. During this phase, the Service may be unstable, features may change rapidly, and data loss is possible. By using the Service during alpha, you acknowledge and accept these risks.

7.3 Support

We provide support via email at support@effitrio.com. Support response times are not guaranteed during the alpha phase.

8. Disclaimers and Limitations

8.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF:

• Merchantability or fitness for a particular purpose.
• Non-infringement of third-party rights.
• Accuracy, completeness, reliability, timeliness, or security of the Service.
• Uninterrupted or error-free operation.

8.2 No Professional Advice

Effitrio provides tools for business management and invoice generation. The Service does not provide tax, legal, financial, or accounting advice. You are solely responsible for:

• Ensuring invoices comply with all tax laws and regulations in your jurisdiction.
• Verifying the accuracy of tax calculations and invoice content.
• Complying with all invoicing and record-keeping requirements.
• Seeking professional advice from qualified tax, legal, or accounting professionals.

We do not guarantee that invoices generated through the Service will meet all legal or regulatory requirements in your jurisdiction.

8.3 AI Features Disclaimer

AI-powered features (summarization, insights) are provided on an experimental basis. AI outputs may be inaccurate, incomplete, or misleading. Always review AI-generated content carefully before relying on it. You are responsible for all actions taken based on AI suggestions.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EFFITRIO, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, revenue, data, customers, or business opportunities.
• Service interruptions, unavailability, or errors.
• Data loss, corruption, or unauthorized access.
• Inaccuracies in invoice calculations or content.
• Tax, legal, or regulatory non-compliance.
• Reliance on AI-generated content or suggestions.

This limitation applies even if Effitrio has been advised of the possibility of such damages.

Total Liability Cap: Effitrio's total liability for any claims arising from or related to these Terms or the Service shall not exceed the lesser of: (a) the amount you paid Effitrio in the 12 months preceding the claim, or (b) $100 USD.

10. Indemnification

You agree to indemnify, defend, and hold harmless Effitrio, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of the Service.
• Your violation of these Terms.
• Your violation of any applicable laws or regulations.
• Your violation of third-party rights, including intellectual property rights.
• Any content or data you upload or create using the Service.
• Claims by third parties regarding your invoices or business practices.

11. Account Termination

11.1 Termination by You

You may terminate your account at any time by:

• Deleting your account through your account settings.
• Emailing support@effitrio.com with a termination request.

Upon termination, your right to use the Service immediately ceases. Your data will be deleted within 30 days (except transaction logs retained for legal/tax compliance). No refunds will be issued for remaining subscription time.

11.2 Termination by Effitrio

Effitrio may suspend or terminate your account immediately, without notice, if:

• You violate these Terms or any applicable laws.
• You engage in fraudulent, illegal, or harmful activities.
• Your account is inactive for 12+ months.
• Your payment fails and is not resolved within 7 days.
• We are legally required to do so.

Upon termination by Effitrio, no refunds will be issued. We will attempt to notify you of the reason for termination.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law principles.

Dispute Resolution: Any dispute arising from or relating to these Terms or the Service shall be resolved through:

• Negotiation: First, good-faith negotiation between the parties.
• Binding Arbitration: If negotiation fails, binding arbitration administered by JAMS under its Comprehensive Arbitration and Mediation Services (CAMS) rules, except where prohibited by law.

You waive any right to a jury trial, court litigation (except small claims court), or class action lawsuit. Arbitration will be conducted on a confidential basis.

13. Changes to Terms

Effitrio may modify these Terms at any time. Material changes will be communicated via:

• Email notification to your registered email address.
• A prominent notice on the Effitrio website.
• Updated "Last Updated" date on this page.

Your continued use of the Service after changes constitutes acceptance of the updated Terms. If you do not agree to changes, you must stop using the Service and may delete your account.

During the alpha phase, Terms may be updated frequently without extended notice periods.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Effitrio regarding the Service and supersede all prior agreements and understandings.
